Welcome to SoftVue Technology. These Terms and Conditions govern your access to our website and the use of our post-paid software development services. Please read them carefully.
1. Introduction & Acceptance
By accessing our website (softvuetechnology.in) or using our services, you agree to comply with and be bound by these terms. If you do not agree with any part of these terms, you must not use our website or engage our services. These terms constitute a legally binding agreement under the Information Technology Act, 2000 and other applicable Indian laws.
2. Definitions
- Company/We/Us: Refers to SoftVue Technology, an IT company based in Pune, India.
- Client/You: Refers to the person, entity, or organization engaging our services.
- Services: Refers to the software development, web development, mobile app development, cloud solutions, cyber security, and data & AI services provided by SoftVue Technology.
- Project: A specific software development engagement agreed upon between the Company and the Client.
- Deliverables: The final outputs, source code, and assets produced during a Project.
- Website: Refers to softvuetechnology.in.
3. Eligibility
To use our Services, you must be at least 18 years old and have the legal capacity to enter into binding contracts as per the Indian Contract Act, 1872. If you are representing a company or organizational entity, you warrant that you have the requisite authority to bind that entity to these Terms and Conditions.
4. Description of Services
SoftVue Technology provides custom software development, web application development, mobile app development, cloud solutions, cyber security, and data & AI services. We operate on a unique post-paid model ("Build first. Pay only if you're satisfied.").
Our services are strictly limited to what we can deliver in-house. SoftVue Technology explicitly does NOT provide domain registration, web hosting, third-party software licenses, or third-party subscription services.
5. Project Engagement Process
Our project workflow is designed for transparency and client satisfaction:
- The Client submits a project inquiry via our website or email.
- SoftVue reviews the inquiry and schedules a consultation.
- Mutual discussion of project requirements, scope, and feasibility.
- SoftVue provides a formal project proposal detailing the scope, timeline, and estimated cost.
- The Client reviews and approves the proposal.
- Development begins with zero advance payment required.
- SoftVue provides regular progress updates and scheduled milestone reviews.
- Final delivery of the completed software for Client review.
- Payment is processed only upon Client approval and satisfaction with the deliverables.
6. Payment Terms
SoftVue Technology operates exclusively on a post-paid model. No advance payment is required to initiate a project. Payment becomes due only after the delivery of the final product and formal Client approval.
Upon approval, we will issue a GST-compliant invoice. Payment is due within 15 days from the date of the invoice. Acceptable payment methods will be detailed on the invoice. All prices and payments shall be in Indian Rupees (INR) unless otherwise agreed in writing. Late payments may incur interest at the rate of 1.5% per month until fully paid.
7. Intellectual Property Rights
All Intellectual Property (IP) rights in the final Deliverables are transferred to the Client only upon full receipt of payment. Until full payment is received, SoftVue Technology retains all IP rights to the Deliverables.
SoftVue Technology retains full ownership of any pre-existing IP, tools, frameworks, and reusable components used during development. We reserve the right to use the completed project for our portfolio and case studies (without revealing any confidential information) unless the Client explicitly objects in writing. The Client warrants that they possess the necessary rights and licenses for any content, materials, or assets they provide to us for use in the Project.
8. Client Responsibilities
For the successful execution of the Project, the Client agrees to:
- Provide accurate, complete, and clear project requirements.
- Provide timely feedback during development and milestone reviews.
- Supply necessary content, assets, API keys, and access credentials promptly.
- Designate a primary point of contact for project communications.
- Attend scheduled milestone reviews and sign-offs.
- Make payment within the agreed timelines upon project approval.
9. Confidentiality
Both parties agree to maintain strict confidentiality regarding all proprietary information shared during the engagement. This includes, but is not limited to, project details, business strategies, technical specifications, and trade secrets. This obligation survives the termination of the project for a period of two (2) years.
Confidential information excludes information that: (a) is or becomes publicly available through no fault of the receiving party; (b) is independently developed by the receiving party; or (c) is required to be disclosed by law or court order.
10. Warranty & Disclaimer
SoftVue Technology warrants that the Deliverables will substantially conform to the agreed-upon project specifications. We provide a 30-day bug-fix period post-delivery to address any technical defects arising from our code.
This warranty does not cover issues arising from Client modifications, third-party API changes, third-party integrations, or general misuse of the software. Beyond the 30-day warranty period, Services and Deliverables are provided on an "as-is" basis. In accordance with the Consumer Protection Act, 2019, while we strive for excellence, we make no guarantee of specific business outcomes, revenue generation, or market success from the use of our Deliverables.
11. Limitation of Liability
To the fullest extent permitted by applicable Indian law, SoftVue Technology's total cumulative liability for any claims arising out of or related to our Services or these Terms shall not exceed the total project fees paid by the Client to SoftVue Technology for the specific Project giving rise to the liability.
In no event shall SoftVue Technology be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of data, loss of revenue, loss of profits, or business interruption, regardless of the cause of action.
12. Scope Exclusions
SoftVue Technology explicitly does not provide the following services unless expressly documented in a separate, written agreement:
- Domain name registration or renewal.
- Web hosting, server provisioning, or ongoing server management.
- Procurement or management of third-party software licenses or subscriptions.
- Ongoing maintenance or support beyond the standard 30-day warranty period.
- Search Engine Optimization (SEO), digital marketing, or content creation services.
13. Termination
The Client may terminate the engagement before development begins at no cost. If the Client terminates the engagement during the development phase, the Client shall be liable to pay for the quantum of work completed up to the date of termination.
SoftVue Technology reserves the right to terminate the project if: (a) the Client is unresponsive for a period of 30 consecutive days; (b) the project is found to involve illegal, unethical, or malicious activities; or (c) there is a material breach of these Terms by the Client.
Upon termination, completed and paid-for work will be delivered to the Client, outstanding payments for completed work become immediately due, and all confidentiality obligations shall survive.
14. Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms if such failure or delay is caused by events beyond their reasonable control, including but not limited to natural disasters, pandemics, government actions, war, acts of terrorism, cyber-attacks, or prolonged internet or power failures (Force Majeure). The affected party must notify the other party within 7 days of the event. If the Force Majeure event continues for more than 60 days, either party may terminate the engagement without penalty.
15. Dispute Resolution
These Terms and any disputes arising out of them shall be governed by the laws of India. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation.
If the dispute remains unresolved after 30 days of negotiation, the parties agree to seek mediation in Pune, Maharashtra. If mediation fails, the dispute shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Pune. The courts of Pune, Maharashtra shall have exclusive jurisdiction over any legal matters arising from this agreement.
16. Indemnification
The Client agrees to indemnify, defend, and hold harmless SoftVue Technology, its founders, employees, and agents from any and all claims, liabilities, damages, and expenses (including legal fees) arising from:
- Any Client-provided content or materials infringing on third-party intellectual property rights.
- The Client's misuse or illegal use of the Deliverables.
- The Client's violation of any applicable laws or regulations.
17. General Provisions
Entire Agreement: These Terms constitute the entire agreement between the Client and SoftVue Technology regarding the Services, superseding all prior communications and agreements.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver: Failure to enforce any provision of these Terms shall not be construed as a waiver of that provision.
Assignment: The Client may not assign or transfer these Terms or Project obligations without our prior written consent.
Amendments: Any amendments to these Terms must be made in writing and agreed upon by both parties.
Notices: All official notices must be sent in writing to the registered addresses or official email addresses of the respective parties.
